Tezuka Universe Secondary Creation Event Terms of Use

Article 1 (Purpose and Scope)

These Terms of Use (hereinafter “these Terms”) apply to users (hereinafter “Users”) participating in the “Tezuka Universe Secondary Creation Event” (hereinafter “the Event”) organized and operated by TCOM. (hereinafter “the Company”).
Users agree to these Terms when using the Event and the related website (hereinafter “the Site”).
In the event that the conditions or guidelines stated in the Event’s application guidelines conflict with these Terms, the guidelines shall take precedence.

Article 2 (Overview and Purpose of the Service)

The Event invites submissions of secondary creation works based on 65 designated works and 100 characters (hereinafter “Tezuka Characters”) from Tezuka Osamu’s works, and conducts judging, voting, and prize awarding.
The Event is conducted with formal permission from Tezuka Productions Inc.
The intellectual property rights of the Tezuka Characters belong to Tezuka Productions Inc. and other copyright holders, and Users may submit and present their secondary creation works (hereinafter “Submitted Works”) in accordance with the conditions set forth by the Event.
Users shall use the information and services related to the Event at their own risk and must comply with these Terms as well as any separate guidelines provided by the Company.

Article 3 (Membership Registration and Participation in the Event)

Necessity of Membership Registration
Viewing publicly available information on the Site does not require membership registration.
However, to submit works, receive prizes, vote, or earn points, membership registration and wallet registration are required.

Information Required for Membership Registration
A valid email address must be provided during membership registration.
Wallet registration is required for voting or receiving tokens.

Management of Registered Information
Users are responsible for managing their registered email and wallet addresses and must not lend, transfer, or sell this information to third parties.
The Company assumes no responsibility for any damages incurred due to unauthorized use or mismanagement of the registered information.

Participation by Minors
If a User is a minor, parental or legal guardian consent may be required for receiving prizes or entering into commercial contracts.
Minors are deemed to have obtained the necessary consent from their guardians when applying for or receiving awards in the Event, and the Organizer or operating company may require submission of written consent (such as a consent form) as specified separately.
Users acknowledge that failure to submit the required consent or complete the necessary procedures may result in loss of eligibility for awards.

Article 4 (Handling of Submitted Works and Copyright)

Copyright Ownership
For Submitted Works, the copyright for the portions created by the User shall be transferred to the Organizer (the Company and Tezuka Productions Inc.) at the time of submission.
The copyright for the Tezuka Characters themselves remains with the original copyright holders (e.g., Tezuka Productions Inc.).

Mint fee
users understand and agree that the minting of a work as NFT during this event does not guarantee that it will pass the judging process. Any work that fails the judging process will be disqualified from voting and cannot be challenged, regardless of whether or not mint fees (gas fees) were incurred at the time the work was uploaded.

Gas costs incurred during the NFT minting process will not be paid to TCOM, and TCOM will not receive any fees for such process. User understands and agrees that TCOM is not responsible for any and all expenditures and financial losses incurred in these processes, including minting costs.

Non-Commercial Use
The Company may freely use the Submitted Works (images, text, etc.) for non-commercial purposes such as promotion, exhibition, introduction, and distribution of the Event.
Users agree that they generally cannot withdraw their works after submission, except in cases of unavoidable circumstances at the Company’s sole discretion.

Commercial Use
For any commercial use of the Submitted Works (e.g., merchandising, publication, product development), the Company will obtain permission from the copyright holders (such as Tezuka Productions Inc.), notify the applicant (submitter), and, if necessary, negotiate profit sharing. Users may be required to agree to a separate contract provided by the Company regarding commercial use.

Credit Attribution
When publicly releasing or distributing Submitted Works, proper credit (e.g., “©︎Tezuka Productions”) will be displayed. Users must adhere to any additional credit requirements specified by the copyright holders.
Users agree not to assert any moral rights and consent to the editing or modification of their works for usage purposes.

Use of AI Tools
While the use of AI tools is permitted for submissions to the Event, tracing existing works or unauthorized use of others’ works is strictly prohibited.
If AI tools are used, this must be clearly indicated.

Cost of Production
Users bear all costs associated with producing the works submitted for the Event, and the Company will not assume any such costs.
Prohibition on Publication of Disapproved Works
If, as a result of internal review by the Company, a submitted work is not approved, the work must not be published or disclosed on any media (such as social media or websites) at the Company’s discretion, except where the Company provides separate permission.

Article 5 (Prohibited Actions)

Users shall not engage in any of the following actions (or any actions likely to lead to such) when using the Event or the Site:

If a User violates any of the above prohibited actions, the Company may take appropriate measures—including account suspension, deletion of submitted works, or cancellation of prize payments—without prior notice.

Article 6 (Suspension or Termination of Services)

The Company may, without prior notice to Users, suspend or terminate in whole or in part the provision of the Event or the Site if it determines that any of the following conditions apply:
・Periodic or emergency system maintenance
・Service provision becomes difficult due to failures by upstream network providers, power outages, natural disasters, or other force majeure events
・Cyberattacks or communication disruptions make safe service provision difficult
・Other reasons deemed unavoidable by the Company
The Company shall not be liable for any disadvantages or damages incurred by Users as a result of such suspension or interruption.

Article 7 (Handling of Personal Information)

The Company collects personal information such as Users’ email addresses to the extent necessary for operating the Event.
We use only essential cookies to manage user sessions and do not employ any analytics tools.
The collected personal information will be managed appropriately in accordance with the Company’s separately established Privacy Policy or applicable laws, and will not be used beyond the intended purposes.
Personal information will not be provided to third parties without Users’ consent except in the following cases:
・When required by law
・When necessary for the protection of life, body, or property and obtaining the User’s consent is difficult
・As otherwise specified in the Privacy Policy

Article 8 (Disclaimer)

The Company does not guarantee the accuracy, completeness, or usefulness of the information and content provided on the Event or the Site. Users use the Event at their own risk and discretion.
The Company assumes no responsibility for any rights issues (such as copyrights or patents) related to submitted works or disputes with third parties. If a dispute arises between a User and a third party regarding a submitted work, the User shall resolve it at their own responsibility and expense, and shall not cause any inconvenience or damage to the Company.
The Company is not liable for any damages incurred by Users due to failures, interruptions, delays, or cessation of communication lines, servers, or systems.
The Company does not guarantee that Users will receive prizes or benefits from the Event, nor does it guarantee the feasibility of commercial use (e.g., merchandising) for profit.

Originality Guarantee for Submitted Works
Users (creators) guarantee that their submitted works are original and do not infringe upon the copyrights of any third parties. In the event that a third party alleges that a work is plagiarized or infringes on rights, and such allegation is substantiated, the User shall resolve the issue at their own responsibility and expense, and shall not cause any inconvenience or damage to the Company.

Article 8-2 (Exclusion of Anti-Social Forces)

Users represent and warrant that they are not members of, nor affiliated with, any anti-social forces (including organized crime groups, companies affiliated with organized crime, racketeers, or those equivalent thereto).
If the Company determines that a User is or is associated with anti-social forces, the Company may, without prior notice, suspend the User’s access to the Event, delete submitted works, or terminate the account.
The Company shall not be liable for any damages incurred by the User as a result of such measures.

Article 8-3 (Notes Regarding Tokens and Points)

Risk of Value Fluctuation
The tokens and points distributed in the Event (hereinafter “Tokens, etc.”) are not legal tender, and their value may fluctuate.
There is a possibility that issuance of Tokens, etc. may be halted, exchange rates may change, or usage rules may be modified in the future, and the Company assumes no responsibility for these matters.

Tax and Legal Risks
Users are solely responsible for any tax processing or legal matters related to acquiring or converting Tokens, etc., and the Company is not involved.

Risk of Wallet Integration
Users are responsible for managing their wallet’s private keys and passwords. The Company shall not be liable for any unauthorized use by third parties.

Termination or Changes to Airdrops/Distribution
The Company may, without prior notice, terminate or modify the airdrop or distribution of Tokens, etc.

Article 8-4 (Change of Operating Entity/Business Transfer)

The Company may change its operating entity regarding the Event or related services due to business transfers, mergers, company splits, or other reasons.
Users agree in advance that, in the event of such a business transfer, their status, rights, and obligations under these Terms will be transferred to the succeeding entity.

Article 8-5 (Requests for Deletion of Submitted Works and Complaint Handling Process)

Based on the review by the Company or the copyright holders (e.g., Tezuka Productions Inc.), works may be deleted or made private.
The Organizer supervises and reviews submitted works, and if it is determined that there are issues in terms of rights or ethics, the Company may, at its discretion, delete or make the work private.
If the Company receives complaints or notices of rights infringement from third parties, it will contact the User and work together with the User to resolve the matter. Users are required to cooperate in good faith.

Article 8-6 (Disclaimer for External Links and External Services)

The Site and the Event may include external links to social media or third-party websites; however, the Company does not guarantee the content or security of such external sites or services.
If Users use external services, they do so at their own risk and discretion, and the Company shall not be liable for any damages incurred by Users or third parties as a result.

Article 8-7 (Security Notice)

Users are responsible for implementing their own security measures to prevent phishing scams or unauthorized access attempts masquerading as the Site or the Event.
The Company assumes no responsibility for any damages incurred by Users due to viruses, phishing, or other illicit activities.

Article 8-8 (Severability)

If any provision or part of these Terms is found to be invalid or unenforceable under applicable law or by a court of law, the remaining provisions shall continue in full force and effect.

Article 9 (Changes to the Terms)

The Company may change these Terms or the content of the Event without prior notice to Users.
If a User continues to use the Event after such changes, the User is deemed to have agreed to the revised Terms.

Article 10 (Governing Law and Jurisdiction)

These Terms shall be governed by the laws of Japan.
In the event of any litigation arising between a User and the Company related to the Event or these Terms, the court having jurisdiction over the location of the Company’s head office—or a court designated by separate agreement—shall have exclusive jurisdiction as the court of first instance.

Article 11 (Supplementary Provisions)

These Terms shall take effect as of April 7, 2025.
Any matters not expressly provided for in these Terms or any doubts arising therefrom shall be governed by the separate rules, guidelines established by the Company, and the laws of Japan.

Eligible Works: Secondary creations using characters from designated Tezuka Osamu works
Submission Format: Illustration works (JPG/PNG; no restrictions)
Number of Submissions: Up to 5 works per person
Application Period: April 30, 2025 (Wed) 19:00「JST(UTC+9)」 to May 29, 2025 (Thu) 19:00「JST(UTC+9)」
Judging and Awards: Under the method designated by TCOM, some excellent works selected by voting will be registered in the Copyright Library. In addition, three selected works will be awarded the “Tezuka Universe Prize.”
*The number of prizewinning entries is subject to change.

About the prizes:
Award-winning works registered in the library may be considered for commercial development (commercialization, etc.) (on a case-by-case basis). If a work is commercially developed, the creator will receive 30% of the proceeds as a copyright royalty fee.
Creators have the right to receive copyright royalties for their works, but do not own the copyrights themselves, and all licensing is done through TCOM.

Three works selected from all submission channels will be awarded the “Tezuka Universe Prize.” The total prize money is 1.5 million yen, distributed as follows:
Grand Prize: 1,000,000 yen
Runner-up: 300,000 yen
Second Runner-up: 300,000 yen

Rewards: Points can be earned through voting and social networking followings, with the possibility of earning tokens depending on the points held. In addition, winning entries may be deployed for commercial use.
Results Announcement: July 2, 2025 (Wed) 19:00「JST(UTC+9)」
Prohibited Items:
・Violent or graphic depictions involving blood or excessive aggression
・Content that may involve crime or scandal
・Designs or expressions involving alcohol, tobacco, gambling, pornography, or any other elements harmful to minors (R-18 content)
・Content related to political, religious, or ideological activities
・Discriminatory or defamatory language
・Unauthorized use of copyrighted works or AI-generated content
・Any expressions that go against public order and morals
・Any other content that may harm the character’s image
